Terms of Service

These Terms of Service ("Terms") govern your use of the website storiara.com (the "Site") and the Storiara production planning service at app.storiara.com (the "Service"), both operated by Storiara Inc. ("Storiara", "we", "our", or "us").

By using the Site or the Service, you agree to these Terms. If you do not agree, please do not use them. If you use the Service for a company, school or other organization, you agree to these Terms on its behalf and confirm you have the authority to do so. If your organization has a separate signed agreement with Storiara, that agreement applies where it differs from these Terms.

You must be at least 16 years old to use the Site or the Service. You agree to use them only for lawful purposes and in accordance with these Terms. You are responsible for making sure your use complies with the laws, regulations and third-party rights that apply to you.

You need an account to use the Service. By registering, you agree to:

• Provide accurate and complete information
• Keep your credentials confidential
• Accept responsibility for all activity under your account
• Tell us promptly if you believe your account has been used without your permission

You decide who joins your projects and what role each person has. You are responsible for the people you invite and for removing those who should no longer have access.

The Service offers a free trial and paid plans. The plans, prices and what each includes are shown on our pricing page and at checkout.

• A free trial lasts 7 days.
• Paid plans are billed in advance through Stripe and renew automatically for the same period until you cancel.
• You can cancel at any time from your account settings. Your plan stays active until the end of the period you have paid for.
• Payments are not refunded, including for a partly used period, except where the law requires a refund.
• We may change prices. A new price applies from your next renewal, and we will tell you before it does.
• Prices do not include taxes, which are added where they apply.

You keep full ownership of everything you upload or create in the Service, such as scripts, breakdowns, schedules, budgets, images and contact details ("Your Content"). You grant Storiara a limited license to host, process and display Your Content only as needed to provide the Service to you and the people you share it with, for example AI breakdowns, scheduling, budgeting, visualization and collaboration features.

We will never publish, distribute, or share Your Content publicly or with third parties without your permission, except with the service providers that help us run the Service, as described in our Privacy Policy. We do not use Your Content to train AI models.

You confirm that you have the rights to upload Your Content, including scripts and information about other people, and that it does not break the law or infringe anyone's rights.

The Service uses AI models to read your documents and produce breakdowns, schedules, budget estimates, images and other results. These results can contain mistakes or leave things out. You are responsible for reviewing them before you rely on them.

Budgets, schedules and information about production incentives are planning tools. They are not financial, tax, legal or accounting advice, and a production's real costs and incentive eligibility depend on facts the Service does not know. Check them with a qualified professional.

The Service lets you send call sheets, invitations and other messages by email and text, and share some pages by link. Shared links open without a sign-in, so send them only to the people who need them. You are responsible for having permission to contact the people you send messages to.

You agree not to:

• Interfere with or disrupt the Site or the Service, or their security features
• Attempt unauthorized access to any part of the Site, the Service or another person’s account or project
• Upload viruses or malicious code
• Harvest data or collect user information without consent
• Use the Service to send spam or unlawful messages
• Resell the Service or give others access to it except through the collaboration features
• Use automated means to extract content from the Service or to get around its usage limits

The Site and the Service, including their text, graphics, logos, images, software, and code, are owned by Storiara Inc. or its licensors and are protected by intellectual property laws. These Terms give you a right to use the Service while your account is in good standing, and no other rights.

You may not:

• Reproduce, distribute, or publicly display our content without permission
• Reverse engineer or extract source code
• Use our content for commercial purposes without authorization

If you send us feedback or suggestions, we may use them without any obligation to you.

The Service works with third-party services, such as sign-in providers, calendars, maps and payment processing, and the Site may link to external websites. Storiara is not responsible for their content, practices, or privacy policies. Your use of them is subject to their own terms.

Our Privacy Policy explains how we handle personal information. Our security page describes how we protect the Service. Customers who need a data processing agreement can ask for one at [email protected].

You can stop using the Service and delete your account at any time. We may suspend or end your access, with or without notice, if we believe you have violated these Terms or the law, or if your use puts the Service or other users at risk.

When an account is deleted, its content is deleted as described in our Privacy Policy. Export anything you need first.

The Site and the Service are provided "as is" and "as available" with no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee accuracy, reliability, or continuous availability.

To the fullest extent allowed by law, Storiara Inc. is not liable for any indirect, incidental, special, or consequential damages, or for lost profits, revenue or data, arising from your use of the Site or the Service. Our total liability for any claim relating to the Site or the Service is limited to the amount you paid us for the Service in the 12 months before the claim arose, or 100 US dollars if that is greater.

You agree to indemnify and hold harmless Storiara Inc., its affiliates, employees, and agents from any claims, liabilities, or expenses related to Your Content, your use of the Site or the Service, or your violation of these Terms.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Disputes will be heard in the state and federal courts located in Delaware, unless the law where you live gives you the right to bring a claim elsewhere.

We may update these Terms from time to time. When we do, we change the date at the top of this page. Continued use of the Site or the Service after a change means you accept the updated Terms.
